Terms of Use

1. About these Terms

PatrolX is a software-as-a-service platform operated by Asha Information Tech Pty Ltd. It is designed to help companies in physical security, logistics, delivery, and related field-operations industries coordinate mobile workers, share operational updates and incident information, and manage the end-user communities they serve. PatrolX is supplied on a business-to-business basis; individual users (officers, subscribers, and other field workers) are on-boarded by the company that has licensed the Service. Features available in the Service may vary by subscription plan and may change over time.

These Terms of Use (“Terms”) form a binding agreement between you and Asha Information Tech Pty Ltd(ABN 35 680 112 378) of 427 Maracana Avenue, Manor Lakes VIC 3024, Australia (“we”, “us”, “our”), the operator of PatrolX (the “Service”).

The Service includes the PatrolX mobile applications for iOS and Android, the PatrolX admin web application at patrolx.vercel.app, and any supporting emails, APIs, and documentation we make available.

By creating an account, signing in, or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use the Service

The Service is intended for use in Australia by adults (aged 18 years or over). By using the Service you represent that:

  • you are at least 18 years of age;
  • you have been on-boarded by an authorised PatrolX administrator — the Service is not available for public self-registration;
  • you will use the Service only for lawful purposes and consistent with the role you have been assigned (for example, subscriber, officer, administrator, or other role defined by the licensee company); and
  • if you use the Service on behalf of a licensee company or other organisation, you have authority to bind that organisation to these Terms.

3. Your account

Your PatrolX account is personal. One account belongs to one human being — accounts may not be shared, sold, or transferred. You agree to:

  • keep your password confidential and use the forced-password-change flow when prompted;
  • tell us immediately at info@patrolx.com.au if you believe your account has been compromised;
  • keep your profile information (name, email, phone, address, and any assigned work area) accurate;
  • sign out of the Service on devices that are not yours, and revoke sessions you no longer use.

You are responsible for anything done through your account until you report it compromised.

4. Acceptable use

You agree not to:

  • post content that is unlawful, defamatory, harassing, abusive, hateful, threatening, obscene, or that invades another person's privacy;
  • post false, misleading, or deliberately inaccurate incident reports, or impersonate another person or organisation;
  • use the Service to stalk, dox, surveil, or profile individuals beyond the legitimate operational purpose of the licensee company that has on-boarded you;
  • upload photos or video of identifiable individuals without a lawful basis (for example, images of operational incidents in public spaces or on commercial premises are generally acceptable; images taken inside a private residence without consent are not);
  • upload any material that depicts or sexualises minors, or any other material that would be illegal to possess in Victoria, Australia;
  • upload viruses, malware, or any content that could damage the Service or other users;
  • attempt to reverse engineer, scrape, probe for vulnerabilities in, disrupt, or circumvent the security of the Service;
  • use the Service to send spam, bulk unsolicited messages, or any form of commercial advertising outside of features we explicitly provide for that purpose; or
  • assist or permit anyone else to do any of the above.

5. User-generated content

When you post an incident report, comment, photo, or other material (“Your Content”) you retain ownership of Your Content.

You grant us, and the relevant administrators and other authorised users within the licensee company that on-boarded you, a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and transmit Your Content within the Service for the purpose of operating and delivering the Service. This licence ends when Your Content is deleted, subject to section 7 (retention).

You confirm that, for each item of Your Content:

  • you own it or have all necessary rights and permissions to post it;
  • it does not infringe any third party's intellectual property, privacy, or other rights; and
  • it complies with section 4 (Acceptable use).

We do not pre-screen Your Content.However, we may review, refuse, or remove Your Content at our discretion if we reasonably believe it breaches these Terms, infringes a third party's rights, or is otherwise unsuitable for the Service. We may do this without notice.

6. Reporting content and objectionable users

If you believe another user's content or behaviour breaches these Terms, please report it to info@patrolx.com.au (or, if applicable, through any in-app reporting feature once available). We aim to acknowledge reports within two business days and to act on serious reports (threats of violence, illegal content, child safety) as soon as reasonably practicable.

We may suspend or terminate an account, remove content, or take other remedial action based on a report. Users who are the subject of action may be notified of the outcome.

7. Account termination and data deletion

You may terminate your account at any time:

  • From the mobile app:Profile → Delete my account.
  • From the web, without signing in: visit patrolx.vercel.app/account/delete and confirm with the emailed code.
  • Administrator accounts (e.g. security admin, super admin): cannot be self-deleted. Contact info@patrolx.com.au or, if applicable, another super admin.

We may suspend or terminate your account without notice if you breach these Terms, if we are required to do so by law, or if continuing to provide the Service to you would create a security or safety risk.

On termination, your profile, photos, and comments are deleted promptly. Incident reports or other operational records you posted may be retained with your name replaced by “Deleted user”, so that the operational record remains complete for audit. Our retention of residual personal information is explained in the Privacy Policy.

8. Privacy

Our handling of your personal information is governed by the PatrolX Privacy Policy, which forms part of these Terms and describes, among other things, what information we collect, why, and your rights under the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

9. Intellectual property

The Service — including its software, design, trade marks, and original content supplied by us — is owned by Asha Information Tech Pty Ltd or its licensors and is protected by Australian and international copyright, trade mark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms, for as long as your account remains active.

Nothing in these Terms transfers any intellectual-property rights in the Service to you.

10. Service changes and availability

We may change, add, or remove features of the Service, or suspend the Service for maintenance or security reasons, at any time. We will give reasonable notice of material changes that affect you adversely, except where the change is required urgently (for example, to address a security vulnerability).

The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, timely, secure, or error-free operation.

11. Australian Consumer Law and limitation of liability

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy available to you under the Australian Consumer Law or any other law to the extent that cannot lawfully be excluded.

Subject to the paragraph above, to the maximum extent permitted by law:

  • the Service is provided without warranty of any kind, express or implied, including fitness for a particular purpose, non-infringement, or freedom from error;
  • we are not liable for any indirect, incidental, consequential, special, or exemplary loss or damage, including loss of profit, revenue, goodwill, data, or opportunity, arising out of or in connection with your use of (or inability to use) the Service; and
  • our total aggregate liability to you for all claims arising under or in connection with these Terms in any 12-month period is limited, at our option, to either (a) resupply of the Service or (b) AUD $100.

You release us from liability for any loss or injury suffered by you or a third party as a result of another user's content or conduct.

12. Indemnity

You indemnify us and our officers, employees, and contractors against any claim, loss, damage, cost, or liability (including reasonable legal costs) arising out of or in connection with:

  • your breach of these Terms;
  • your breach of any law or any third party's rights; or
  • Your Content.

13. Transfer of the Service

PatrolX is a product of Asha Information Tech Pty Ltd and we may, at any time and without your consent, assign or novate our rights and obligations under these Terms to a related body corporate (within the meaning of the Corporations Act 2001 (Cth)) — including, in particular, PatrolX Technologies Pty Ltd — or to any successor entity that continues to operate the Service. We will notify you of any such transfer by email or in-app notice. Your rights under the Australian Consumer Law are not affected by any such transfer.

You may not assign or transfer your rights under these Terms to anyone else.

14. Changes to these Terms

We may amend these Terms from time to time. The “Last updated” date at the top of this page will reflect the most recent change. Material changes will be communicated in-app or by email. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not accept the change, you can terminate your account as described in section 7.

15. Governing law and jurisdiction

These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia.

16. Severability and waiver

If any part of these Terms is found to be unenforceable, the rest of these Terms remain in full force. A failure by us to enforce a right under these Terms is not a waiver of that right.
